GENERAL TERMS AND CONDITIONS – GEMSPOON

Hereinafter referred to as “Gemspoon”.

2. Scope

These terms apply to all offers, orders and agreements concluded via the webshop.
In B2B transactions, the customer’s general terms are expressly excluded unless agreed in
writing.

3. Personalized Products

Personalized spoons (with name, date, logo or engraving) are produced according to
customer specifications.
Such products cannot be cancelled or returned once production has started.

4. Prices and Payment

All prices are in euro (€).
B2C: VAT included.
B2B: VAT excluded unless stated otherwise.
B2B invoices are payable within 14 days.
In case of late payment:
– Statutory interest applies
– Fixed compensation of 15% (minimum €75)
– All recovery costs borne by the customer

5. Retention of Title

All goods remain the property of Gemspoon until full payment of principal, interest and
costs.
In case of non-payment, Gemspoon has the right to reclaim the goods, even if processed or
resold.
The customer grants access to its premises for repossession.

6. Liability

Gemspoon shall only be liable in case of proven intentional misconduct or gross negligence.
Liability is limited to the lower of:
– The invoice amount
– €100
Indirect damages, loss of profit and consequential damages are excluded.

7. Governing Law and Jurisdiction

All agreements are governed exclusively by Belgian law.
For B2B disputes, the courts of Antwerp (Belgium) have exclusive jurisdiction.
